Program Rules: Cabi Spring 2025 Hostess Benefits & Rewards

Overview

The Spring 2025 Hostess Benefits & Rewards Program (“Program”) offers exclusive rewards to eligible individuals who host cabi Fashion Experiences (“Hosts” or “Hostesses”) during the Spring 2025 season. The Program includes three components:
1. Hostess Benefits
2. Hostess VIPerks
3. Monthly Hostess Sweepstakes

By participating in the Program, you agree to these Program Rules and the decisions of cabi, which are final and binding. Detailed Official Rules for each Monthly Hostess Sweepstakes will be published alongside each sweepstakes.  Cabi may, in its sole discretion, change these Program Rules, available Rewards and special offers at any time with or without notice.

Your participation in the Program is nontransferable and is subject to present and future program rules. Participation in the Program is also governed by our  website Terms & Conditions (the “Terms”), our Privacy Policy (the “Privacy Policy”) and any sweepstakes official rules (“Official Rules”). In case of a conflict between the Terms, Privacy Policy, Official Rules and/or these Terms & Conditions as it relates to the Program, these Terms & Conditions shall govern.

1. Hostess Benefits

Hostess Benefits are available to all Hostesses throughout the Spring 2025 season and reward Hostesses based on the sales achieved at their Fashion Experience. These benefits include discounts, credits, and exclusive opportunities.

Timing

Hostess Benefits are available for all qualifying shows held and closed between January 16, 2025, and June 30, 2025.

Eligibility

Hostess Benefits (“Benefits”) are available to all Hostesses and Co-Hostesses with qualifying Fashion Experiences in the United States (U.S.), Canada (CAN), and the United Kingdom (U.K.). A qualifying show is one with a minimum of $250 USD (£200 GBP) in Commissionable Volume (CV) from Guest Orders.

Rewards

Hostess Benefits are earned based on Commissionable Volume (CV) from Guest Orders at a Fashion Experience and include the following rewards:

Unlimited Earning Potential:

• For every $250 (£200) over $1,000 (£800) in total sales, you’ll receive another item at 50% off.
• For every $500 (£400) over $1,000 (£800) in total sales, you’ll receive $15 (£12) in cabi Credits, which can add up to free items.

Jewelry Benefit: Hostesses and Co-Hostesses can each earn one jewelry item at 50% off for every show with a minimum of $250 (£200) CV. Jewelry rewards must be redeemed at the time of the show.

Benefit Banking: Hostesses may save unused 50% off items for use later in the season. These benefits expire on June 30, 2025, and cannot be carried into future seasons.

Restrictions

• Orders from Hostesses, Co-Hostesses, and Referrers do not count toward total CV for qualifying sales.
• Benefits must be redeemed at the time of the show unless otherwise noted.

2. Hostess VIPerks

Hostess VIPerks provide additional seasonal rewards based on sales achieved at qualifying Fashion Experiences during the specified eligibility period.

Rewards

Hostess VIPerks rewards are based on qualifying sales thresholds:

Timing

• Eligibility Period: Shows must be closed between January 16, 2025, and March 31, 2025 to earn Hostess VIPerks.
• Redemption Period: Rewards earned must be redeemed between February 1, 2025, and July 31, 2025.

Eligibility

Available to all Hostesses and Co-Hostesses in the U.S., Canada, and U.K.

Qualifying guest order sales thresholds exclude orders from Hostesses, Co-Hostesses, and Referrers.

3. Hostess Monthly Sweepstakes

Monthly Hostess Sweepstakes offer prizes to eligible Hostesses who hold and close qualifying shows within the specified months.

Timing

• One sweepstakes will be held each calendar month from February through June 2025.
• Hostesses may hold and close a qualifying show during each corresponding month to be automatically entered into the then-current sweepstakes.

Eligibility

• Open to U.S. and Canadian residents only, who are least the age of majority in their jurisdiction of residence (additional eligibility restrictions will be included in the Official Rules for each sweepstakes).
• Limited to:
  • Debut Hostesses hosting a Fashion Experience for the first time.
  • Encore Hostesses in their 2nd, 3rd, or 4th season of hosting

Official Rules

• All sweepstakes will be subject to separate Official Rules pertaining to each sweepstakes. Detailed Official Rules for each monthly sweepstakes, including prize details and approximate retail values and additional eligibility restrictions, will be published at the time each sweepstakes launches. Please refer to each individual sweepstakes Official Rules for more information.

4. General Conditions

• Modification Rights: cabi reserves the right to modify, suspend, or terminate the Program, including any benefits, rewards, or eligibility criteria, at any time without notice.
• If cabi improperly denies a member Rewards or some other benefit of the Program, the member’s exclusive remedy shall be the issuance of the improperly denied Reward or benefit, if available, or such other alternative comparable benefit as determined by cabi, which shall have no additional liability whatsoever. In no event shall cabi be liable to any Hostess, or anyone claiming through a Hostess, for any direct, indirect or consequential damages, or lost revenue or profits, arising out of cabi’s acts or omissions in connection with the Program.
• Tax Responsibility: All prizes and rewards are subject to applicable federal, state, provincial/territorial and local tax laws. Recipients are solely responsible for reporting and paying any taxes associated with their rewards. For US residents only: Should any individual receive prizes and/or rewards totaling $600 or more during a calendar year, such individual will receive an IRS form 1099 for the total actual retail value of all prizes and/or rewards received.
• California Notice of Financial Incentive: The Program provides discounts, rewards, and other benefits in exchange for hosting cabi Fashion Experiences. Under California law, this may be considered a “financial incentive” program. The value of your personal information to cabi is reasonably related to the value of the rewards and benefits provided, less the cost of administering the Program. Participation is voluntary. For more information, see our Privacy Policy.
• Limitations of Liability: To the fullest extent permitted by law, cabi is not responsible for any damages, losses, or injuries resulting from participation in the Program or the use or misuse of any rewards. By participating in the Program, Hostesses agree to release and hold harmless cabi and its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and the employees, officers and directors of each of the foregoing from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any Reward, participation in the Program or any Program-related activities.  The sole remedy for any lost or stolen Reward is solely replacement, subject to availability.
• Dispute Resolution: Any disputes arising out of or relating to these Terms & Conditions or the Program will be resolved through binding arbitration under the rules of the American Arbitration Association. These Terms & Conditions will be governed by the laws of the State of California, without regard to its conflict of laws principles.
• Force Majeure: cabi is not responsible for delays or failures in performance due to events beyond its control, such as natural disasters or unforeseen circumstances.

When a qualifying show is closed between Sunday, September 1 at 12:01 a.m. Pacific and Monday, September 30 at 11:59 p.m. Pacific, the Hostess and/or Co-Hostess will be eligible to choose one FREE Fall ’24 item from a selection of eight gorgeous styles.

*Conditions apply: Offer valid for Hostess and Co-Hostess orders placed on an in-person or Front Row show beginning on September 1 at 12:01 a.m. Pacific and ending on September 30 at 11:59 p.m. Pacific or while supplies last. For the Hostess and/or Co-Hostess to be eligible to choose one free item, the show must qualify. Hostess Eligibility

When a show is closed with a CV of $1,500 (£1,200), only the Hostess will be eligible to select one free VIPerk item, even if there is both a Hostess and Co-Hostess on the show.

Hostess & Co-Hostess Eligibility

Shows with both a Hostess and Co-Hostess that are closed with $3,000 (£2,400) in CV or above will be eligible for both the Hostess and Co-Hostess to receive one of the eight VIPerk items for free.

This promotion is available to Hostesses and Co-Hostesses only. Cabi Stylists are not eligible for this promotion and cannot be the Hostess or Co-Hostess of a qualifying show.

This is a one-time promotion for a Hostess or Co-Hostess regardless of how many September shows they host.

Any September show closed AFTER 11:59 p.m. Pacific on Monday, September 30 does not qualify for this promotion.

The Fall ’24 September Hostess VIPerk item is not eligible to be returned or exchanged. However, for size exchanges, reach out to your Stylist.

1. Program Overview:
The Hostess VIPerk: The Vault promotion offers an exclusive shopping opportunity for qualifying cabi Hostesses from October 1, 2024 through December 31, 2024. Eligible Hostesses gain access to shop a curated selection of prior-season cabi styles at up to 75% off through an exclusive microsite: cabionline.com/the-vault (herein “The Vault”).

2. Eligibility:
The promotion is open to all cabi Hostesses in the U.S., Canada, and the U.K. To qualify, Hostesses must host and close a cabi Fashion Experience (herein “Show”) that meets the following criteria:

• U.S. and Canada: The show must generate a minimum of $1,500 in full-priced guest orders.
• U.K.: The show must generate a minimum of £1,200 in full-priced guest orders.

Co-Hostesses are also eligible when their show meets the following criteria:

• U.S. and Canada: Co-hosted shows must generate a minimum of $3,000 in full-priced guest orders.
• U.K.: Co-hosted shows must generate a minimum of £2,400 in full-priced guest orders

Shows must be held and closed from October 1, 2024 through December 31, 2024.

Hostesses who are eligible will be able to shop their reward until January 31, 2025.

3. Reward:
Eligible Hostesses will receive exclusive access to cabi’s The Vault microsite. Access will be granted within 72 hours of the show’s closure, and Hostesses will receive an email notification containing the link to The Vault and instructions on how to redeem their reward.

• Each Hostess may purchase a maximum of two (2) prior-season items at 75% off original retail prices (herein “reward”).
• Co-Hostesses: If eligible, Co-Hostesses also receive two (2) prior-season items at 75% off original retail prices; the reward is not shared with the Hostess.
• Multiple Shows: For each additional qualifying show within the promotional period, the Hostess will earn the ability to purchase two (2) additional items from The Vault. However, these items cannot be redeemed on a single order; only one Reward may be redeemed per The Vault order.
• Redemption Period: The Vault will remain open for eligible Hostesses until January 31, 2025, after which time the reward will expire.
  The Vault will be publicly viewable; only eligible Hostesses will have the ability to add to cart and make purchases.

4. Shipping:

• U.S.: Free “No Rush” shipping will apply for orders shipping to Hostesses in the U.S.
• Canada and the U.K.: Standard cabi shipping rates apply for orders shipping to Hostesses in Canada and the U.K.
• Standard cabi shipping policies apply.

5. Returns and Exchanges:

• All sales are final. No returns or exchanges are permitted.
• Exchanges will only be accommodated in cases of shipping errors or product defects, subject to approval by cabi.

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

1. Eligibility: This Campaign is open only to those who act as a ‘Hostess’ of a qualifying cabi ‘Show’ incorporating the cabi ‘Fashion Experience’ in person or virtually between August 1, 2024 and August 31, 2024 and who are 18 of age or older as of the date of entry.

A ‘Hostess’ is defined as someone supporting her Stylist by inviting her contacts (or allowing the Stylist to invite those contacts) to attend a cabi fashion experience as part of a ‘Show’ (which takes place in any private in-person or virtual location), thereby expanding and/or engaging the Stylist’s shopping audience.

A qualifying ’Show’ is defined as a ‘Hostess’ product order plus at least two unique guest product orders, with the total full price product sales minimally at $1,750.

1 ‘Co-Hostess’ per ‘Show’ is eligible for entry, in the case where the Show order value accomplishes total full price product sales minimally at $3,500.

A cabi ‘Fashion Experience’ is an occasion where a cabi Stylist presents the Fall 2024 cabi Collections (either in-person or virtually) and where guests can see and/or touch and/or try on the Collection with friends, family and acquaintances and the Stylist can offer personal attention.

The Campaign is only open to legal residents of United States of America. The Campaign is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.

Employees of cabi, LLC, its Stylists, affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Campaign.

2. Agreement to Rules: By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements.

In addition, You agree to accept the decisions of cabi, LLC as final and binding as it relates to the content of this Campaign.

3. Campaign Period: Entries will be accepted Thursday, August 1, 2024, 9:00 a.m. PST and ending Saturday, August 31, 2024, 11:59 p.m. PST. All entries must be received no later than Saturday, August 31, 2024, 11:59 p.m. PST.

4. How to Enter: The Campaign must be entered by one of the following two options:
Host (or Co-Host) a qualifying cabi ‘Show’ incorporating the cabi ‘Fashion Experience’ in person or virtually between August 1, 2024 and August 31, 2024. Qualifying date for entries will relate to the ‘Show’ ‘closed date’, rather than the date the ‘Show’ took place in-person or virtually. The ‘closed date’ is the date at which no further orders can be added to the ‘Show’.

Alternate Method of Entry: Mail a postcard to the attention of cabi Hostess Sweepstakes, 21750 Arnold Center Road, Carson, CA 90810. The postcard must clearly state the words ‘Entry to cabi Clothing “Own Your Fall Style” Sweepstakes – August 2024’ and must clearly contain the first and last name, address and telephone number of the person entering the sweepstakes. The postcard must be postmarked no later than August 20, 2024.

The entry must fulfill all Campaign requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of cabi, LLC. You may enter only once. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses in an attempt to circumvent the rules. If You use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of cabi, LLC.

5. Prize:
Contestants will be entered to win a prize. There will be a maximum of 10 Winners. The prize will consist of:

One (1) Tory Burch Small Perry Tote (Retail Value $348 USD) and one (1) pair of Eleanor Oversized Square Sunglasses (Retail Value $195 USD).

Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by cabi, LLC. No cash or other prize substitution shall be permitted except at cabi, LLC’s discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for cabi, LLC to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received. Contestant(s) are eligible to win a maximum of one prize.

7. Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of cabi, LLC which will take place on Friday, September 6, 2024.

Winner will be notified via email directly from cabi within five (5) days following selection of Winner. To claim the prize, the Winner must complete a questionnaire to certify their age and agree to the Terms & Conditions. Cabi, LLC shall have no liability for Winner’s failure to receive notices due to security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within two days from the time award notification was sent, or fails to accept the Terms & Conditions, the prize may be forfeited and an alternate Winner selected.

Receipt by Winner of the prize offered in this Campaign is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT CABI LLC’S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CAMPAIGN, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Terms & Conditions: cabi, LLC reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Campaign should virus, bug, non-authorized human intervention, fraud, or other cause beyond cabi LLC’s control corrupt or affect the administration, security, fairness, or proper conduct of the Campaign. In such case, cabi, LLC may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by cabi, LLC. Cabi, LLC reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Campaign or website or violates these Terms & Conditions. Cabi, LLC has the right, in its sole discretion, to maintain the integrity of the Campaign, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Campaign rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Campaign may be a violation of criminal and civil laws. Should such attempt be made, cabi, LLC reserves the right to seek damages to the fullest extent permitted by law.

9. Limitation of Liability: By entering, You agree to release and hold harmless cabi, LLC and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

10. Disputes: THIS Campaign IS GOVERNED BY THE LAWS OF THE UNITED STATES AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Campaign, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Campaign, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Campaign). Participant further waives all rights to have damages multiplied or increased.

Requests must be received no later than September 30, 2024, 11:59 p.m. PST.

13. Sponsor: The Sponsor of the Campaign is cabi, LLC, 21750 Arnold Center Road, Carson, CA, 90810, United States.

14. Facebook: If you use Facebook to communicate or administer a contest or sweepstakes, include the following: The Campaign hosted by cabi, LLC is in no way sponsored, endorsed, administered by, or associated with Facebook.

The entry must fulfill all Campaign requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of cabi, LLC. You may enter only once. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses in an attempt to circumvent the rules. 1. Eligibility: This Campaign is open only to those who act as a ‘Hostess’ of a qualifying cabi ‘Show’ incorporating the ‘cabi Fashion Experience’ in person or virtually from December 1, 2024 through December 31, 2024 and who are 18 years of age or older as of the date of entry.

A ‘Hostess’ is defined as someone supporting her Stylist by inviting her contacts (or allowing the Stylist to invite those contacts) to attend a ‘cabi Fashion Experience’ as part of a ‘Show’ (which takes place in any private in-person or virtual location), thereby expanding and/or engaging the Stylist’s shopping audience.

A qualifying ‘Show’ is defined as a ‘Hostess’ product order plus at least two unique guest product orders, with the total full-price product sales minimally at $1,750 USD.

One ‘Co-Hostess’ per ‘Show’ is eligible for entry, in the case where the ‘Show’ order value accomplishes total full-price product sales minimally at $3,500 USD.

A ‘cabi Fashion Experience’ is an occasion where a cabi Stylist presents the Fall 2024 cabi Collection (either in person or virtually) and guests can see and/or touch and/or try on the Collection with friends, family, and acquaintances while the Stylist offers personal attention.

The Campaign is only open to legal residents of the United States of America. The Campaign is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.

Employees of cabi, LLC, its Stylists, affiliates, subsidiaries, advertising and promotion agencies, and suppliers (collectively, the ‘Employees’), as well as immediate family members and/or those living in the same household of ‘Employees’ are not eligible to participate in the Campaign.

2. Agreement to Rules: By participating, the Contestant (‘You’) agrees to be fully unconditionally bound by these Rules, and ‘You’ represent and warrant that ‘You’ meet the eligibility requirements.

In addition, ‘You’ agree to accept the decisions of cabi, LLC as final and binding as it relates to the content of this Campaign.

3. Campaign Period: Entries will be accepted from Sunday, December 1, 2024 at 9:00 a.m. Pacific through Tuesday, December 31, 2024 at 11:59 p.m. Pacific. All entries must be received no later than Tuesday, December 31, 2024 at 11:59 p.m. Pacific.

4. How to Enter: The Campaign must be entered by one of the following two options:

Host (or Co-Host) a qualifying cabi ‘Show’ incorporating the ‘cabi Fashion Experience’ in person or virtually from December 1, 2024 through December 31, 2024. Qualifying date for entries will relate to the ‘Show’ ‘closed date’ rather than the date the ‘Show’ took place in person or virtually. The ‘closed date’ is the date at which no further orders can be added to the ‘Show.’

Alternate Method of Entry: Mail a postcard to the attention of cabi Hostess Sweepstakes, 21750 Arnold Center Road, Carson, CA 90810. The postcard must clearly state the words ‘Entry to cabi Clothing “Own the New Year” Sweepstakes – December 2024’ and must clearly contain the first and last name, address, and telephone number of the person entering the sweepstakes. The postcard must be postmarked no later than December 21, 2024.

The entry must fulfill all Campaign requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of cabi, LLC. You may enter only once. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of cabi, LLC.

5. Prize: Contestants will be entered to win a prize. There will be a maximum of eight winners. The prize will consist of:

One (1) Intellipure Compact AirPurifier (Retail Value: $299.00 USD), one (1) Quince Silk Beauty Sleep Kit – Ivory (Retail Value: $59.90 USD), one (1) Bala Sculpt & Slide Kit (Retail Value: $204.00 USD), one (1) Apotheke Sea Salt Grapefruit Body Care Bundle (Retail Value $40.00 USD), and one (1) Primally Pure Body Dry Brush (Retail Value $20.00 USD).

Actual/appraised value may differ at the time the prize is awarded. The specifics of the prize shall be solely determined by cabi, LLC. No cash or other prize substitution shall be permitted except at cabi, LLC’s discretion. The prize is nontransferable. Any and all prize-related expenses, including, without limitation, any and all federal, state, and/or local taxes, are the sole responsibility of the Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by the Winner is permitted. Acceptance of prize constitutes permission for cabi, LLC to use the Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received. Contestant(s) are eligible to win a maximum of one prize.

7. Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of cabi, LLC, which will take place on Tuesday, January 7, 2025.

The Winner will be notified via email directly from cabi within five (5) days following the selection of the Winner. To claim the prize, the Winner must complete a questionnaire to certify their age and agree to the Terms & Conditions. Cabi, LLC shall have no liability for the Winner’s failure to receive notices due to security settings or for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner cannot be contacted, is ineligible, fails to claim the prize within two (2) days from the time award notification was sent, or fails to accept the Terms & Conditions, the prize may be forfeited and an alternate Winner selected.

Receipt by the Winner of the prize offered in this Campaign is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE WINNER (AT cabi LLC’S SOLE DISCRETION) WILL RESULT IN THE WINNER’S DISQUALIFICATION AS WINNER OF THE CAMPAIGN, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Terms & Conditions: Cabi, LLC reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Campaign should virus, bug, non-authorized human intervention, fraud, or other cause beyond cabi LLC’s control corrupt or affect the administration, security, fairness, or proper conduct of the Campaign. In such case, cabi, LLC may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by cabi, LLC. Cabi, LLC reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Campaign or website or violates these Terms & Conditions. Cabi, LLC has the right, in its sole discretion, to maintain the integrity of the Campaign, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Campaign rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Campaign may be a violation of criminal and civil laws. Should such attempt be made, cabi, LLC reserves the right to seek damages to the fullest extent permitted by law.

9. Limitation of Liability: By entering, you agree to release and hold harmless cabi, LLC and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

10. Disputes: THIS CAMPAIGN IS GOVERNED BY THE LAWS OF THE UNITED STATES AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Campaign, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Campaign, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this Campaign). Participant further waives all rights to have damages multiplied or increased.
